NEW YORK, Nov. 7, 2012 /PRNewswire/ -- Equinox Holdings, Inc. ("Equinox") announced today that it has made available a Current Report pursuant to the Indenture ("Indenture") governing the 9.50% Senior Secured Notes due 2016 (the "Notes") issued by Equinox. The Current Report, which is related to the Company's proposed refinancing transaction, was posted on November 7, 2012 on a secure website hosted by Merrill Datasite. Access to the Current Report and other financial information is available only to the following qualified parties as set forth in the Indenture: 1) holders of the Notes, 2) beneficial owners of the Notes or 3) any prospective investor in the Notes which is (a) a Qualified Institutional Buyer ("QIB"), as defined in Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and/or (b) an Institutional Accredited Investor, as defined in Rule 501(a)(1), (2), (3) or (7) under the Securities Act.
